LEGAL AND REGULATORY NOTICE

Nature of Services

EXITSTONE CONSULTANCY FZCO ("Exitstone") is an advisory and coordination firm. Exitstone provides strategic advisory services, analytical support, and professional coordination across tax, structuring, transfer pricing, valuations, M&A advisory, restructuring, disputes, IP, privacy, and legal matters. Exitstone connects clients with independently licensed and regulated professionals matched to specific mandates.

Limitations on Regulated Activity

Exitstone does not:
• Incorporate, establish, or administer legal persons or legal arrangements on behalf of clients.
• Act as, or arrange for any person to act as, a director, secretary, partner, or nominee shareholder of any entity.
• Provide a registered office, business address, correspondence address, or administrative address for any legal person or legal arrangement.
• Act as, or arrange for any person to act as, a trustee of an express trust or perform an equivalent function for another form of legal arrangement.
• Hold, manage, or control client funds, securities, or other assets.
• Execute transactions on behalf of clients in relation to the sale or purchase of real estate or commercial bodies.
• Practice law, provide legal advice, or represent clients in legal proceedings.
• Provide regulated financial services, investment advice, or capital intermediation.
• File tax returns, immigration applications, or regulatory submissions on behalf of clients.

AML/CFT Compliance

Exitstone is committed to the prevention of money laundering, terrorist financing, and the financing of proliferation of weapons of mass destruction. Exitstone maintains internal policies, controls, and procedures consistent with applicable anti-money laundering and counter-terrorist financing frameworks, including:
• UAE Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering and Combating the Financing of Terrorism and Financing of Illegal Organisations, and its Implementing Regulation (Cabinet Decision No. 10 of 2019).
• The Central Bank of the UAE (CBUAE) AML/CFT Guidance for Financial Institutions and DNFBPs.
• The Abu Dhabi Global Market (ADGM) AML Rulebook and the ADGM Company Service Provider Framework.
• The Financial Action Task Force (FATF) Recommendations, including Recommendations 22 and 23 and the Guidance on Risk-Based Approach for Trust and Company Service Providers.

Exitstone does not accept clients or mandates where the engagement would require Exitstone to act as a Designated Non-Financial Business or Profession (DNFBP) as defined under the aforementioned frameworks without appropriate registration, licensing, and regulatory compliance.

UAE-Specific Disclosures

Clients engaging Exitstone for UAE-related matters are advised that:
• Exitstone is not registered as a DNFBP with the UAE Ministry of Economy, the CBUAE, or the ADGM Financial Services Regulatory Authority (FSRA).
• Exitstone does not hold a Company Service Provider (CSP) license under the ADGM Commercial Licensing Regulations 2015 or any other UAE free zone authority.
• Exitstone does not hold a legal practice license in any UAE jurisdiction.
• Services described on this website that may fall within the scope of DNFBP-regulated activities under UAE law are performed exclusively by independently licensed and regulated third-party professionals. Exitstone's role is limited to advisory coordination.
• Clients are responsible for ensuring that any service providers engaged through Exitstone's coordination hold the requisite licenses and registrations under applicable UAE law.

Regulatory Status

Exitstone AG is a Swiss-incorporated advisory firm. Exitstone does not represent itself as a regulated financial institution, licensed legal practice, registered DNFBP, or licensed Company Service Provider in any jurisdiction unless separately disclosed. Nothing on this website constitutes an offer to perform regulated activities in any jurisdiction where Exitstone is not appropriately licensed or registered to do so.
